Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using The Canopy Club, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must be at least 13 years old to use our Services. If you are under 18, you must have permission from a parent or guardian.

2. Account Registration and Security

To access certain features, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Not share your account with others
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Content and Conduct

Your Content

You retain ownership of any content you post, upload, or submit to our Services (“User Content”). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content in connection with providing our Services.

Content Standards

You agree that your User Content will not:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Contain false, misleading, or fraudulent information
• Contain hateful, threatening, or harmful content
• Include spam or unsolicited promotional material
• Contain malware or malicious code

4. Marketplace and Transactions

Listings

When creating listings for cards, you must:

• Accurately describe the condition and authenticity of items
• Set fair and honest prices
• Honor all active listings
• Not list counterfeit or stolen items
• Comply with all applicable laws regarding sales

Transactions

The Canopy Club facilitates transactions between users but is not a party to any sale. We are not responsible for the quality, safety, or legality of items listed, the accuracy of listings, or the ability of sellers to complete sales or buyers to complete purchases.

All sales are final unless otherwise agreed upon by the parties. Disputes should be resolved directly between buyers and sellers.

Fees

We may charge fees for certain Services or features. All fees will be clearly disclosed before you incur them. Fees are non-refundable except as required by law.

5. Intellectual Property Rights

The Canopy Club and its content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without authorization
• Reverse engineer or attempt to extract source code
• Create derivative works based on our Services
• Use automated systems to access our Services

6. Copyright and Intellectual Property Infringement Policy

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through our Services, please notify us immediately.

Notice and Takedown Procedure

If you are a copyright owner or authorized to act on behalf of one, please report alleged copyright infringements by providing us with the following information:

• A physical or electronic signature of the copyright owner or authorized representative
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing, with information reasonably sufficient to permit us to locate the material
• Your contact information (name, address, telephone number, and email address)
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner

Repeat Infringers

We will terminate the accounts of users who are determined to be repeat infringers of intellectual property rights.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violate any applicable laws or regulations
• Impersonate another person or entity
• Engage in fraudulent activities or scams
• Harass, abuse, or harm other users
• Interfere with or disrupt our Services
• Attempt to gain unauthorized access to our systems
• Collect user information without consent
• Use our Services for any illegal purpose
• Manipulate prices or engage in market manipulation

You agree to indemnify, defend, and hold harmless The Canopy Club, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

11. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

You may delete your account at any time by contacting us. Upon account deletion, your personal information will be handled in accordance with our Privacy Policy.

12. Dispute Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, you may pursue your claim in accordance with the governing law provisions below.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Prince Edward Island and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the Province of Prince Edward Island, Canada.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and The Canopy Club concerning the Services.
